TERMS OF SERVICE

Please read these terms carefully before using our website or placing any orders with Joint Carbide.

ACCEPTANCE OF TERMS

By accessing or using the Joint Carbide website (the "Site"), submitting inquiries, placing purchase orders, or entering into any commercial transaction with Joint Carbide Group and its affiliated entities ("Joint Carbide," "we," "us," or "our"), you ("Buyer," "Customer," or "you") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must immediately cease use of the Site and refrain from placing any orders. These Terms constitute a legally binding agreement between you and Joint Carbide.

These Terms apply to all visitors, customers, and business partners accessing the Site or conducting business with Joint Carbide. By continuing to use the Site or placing an order, you confirm that you have the legal authority to bind the organization you represent.

COMPANY INFORMATION

Joint Carbide is a professional manufacturer and high-tech enterprise integrating research, development, production, and sales of tungsten carbide products. The group was established in 2007 and operates through the following entities:

All entities operate under the Joint Carbide Group umbrella. These Terms apply collectively to all transactions facilitated through any Joint Carbide entity unless otherwise specified in a separate written agreement.

USE OF WEBSITE

You agree to use the Site solely for lawful B2B commercial purposes consistent with these Terms and all applicable laws and regulations. You are granted a limited, non-exclusive, non-transferable license to access and use the Site for your internal business purposes.

You agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable regulations;
  • Scrape, crawl, or systematically extract data from the Site without prior written consent;
  • Attempt to gain unauthorized access to any portion of the Site or its related systems;
  • Transmit any viruses, malware, or other harmful code;
  • Reproduce, duplicate, or resell any part of the Site's content without authorization;
  • Misrepresent your identity or affiliation when submitting inquiries or orders.

Joint Carbide reserves the right to suspend or terminate access to the Site at its sole discretion, without prior notice, for any violation of these Terms.

PRODUCTS & ORDERS

Joint Carbide manufactures and supplies tungsten carbide products including, but not limited to: carbide burrs, carbide grit, high-entropy alloy grit, carbide rods (composite and sintered), hardfacing materials (thermal spray powders and cladding powders), wear parts, and recycled carbide scrap.

Order Acceptance: All purchase orders submitted by the Buyer are subject to written acceptance by Joint Carbide. An order is not binding until confirmed in writing (including email) by an authorized Joint Carbide representative. We reserve the right to refuse or cancel any order at our discretion.

Product Specifications: Product specifications, dimensions, and technical parameters (including hardness ratings such as HRA 90.3-91.5) are provided for reference purposes. Actual specifications may vary within industry-standard tolerances. For custom or precision-critical applications, buyers should request a formal technical specification sheet prior to ordering.

Minimum Order Quantities (MOQ): Certain products may be subject to minimum order quantities. MOQ requirements will be communicated at the time of quotation. Joint Carbide reserves the right to adjust MOQ requirements at any time.

Customization: Custom product requests (including non-standard shank lengths, special cut types, or bespoke alloy compositions) are subject to separate quotation and lead times. Custom orders are non-cancellable and non-refundable once production has commenced.

PRICING & PAYMENT

Pricing: All prices quoted are in United States Dollars (USD) unless otherwise specified in writing. Prices are subject to change without prior notice. The price applicable to any order shall be the price confirmed in the written order acknowledgment issued by Joint Carbide.

Quotation Validity: Formal quotations are valid for thirty (30) calendar days from the date of issuance unless otherwise stated. Joint Carbide reserves the right to revise or withdraw a quotation at any time before written order acceptance.

Payment Terms: Standard payment terms are Thirty percent (30%) deposit upon order confirmation, with the remaining seventy percent (70%) due prior to shipment, unless otherwise agreed in a separate written contract. Joint Carbide reserves the right to require full prepayment for new customers or high-value orders.

Accepted Payment Methods: Bank wire transfer (T/T), Letter of Credit (L/C) at sight, and other methods as mutually agreed in writing. All bank charges and transfer fees are the sole responsibility of the Buyer.

Late Payment: Overdue payments may be subject to interest charges at a rate of one and a half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower. Joint Carbide reserves the right to suspend further shipments until all outstanding balances are settled.

Taxes & Duties: All prices are exclusive of applicable taxes, customs duties, import tariffs, and any other governmental charges. The Buyer is solely responsible for all such charges in the country of destination.

SHIPPING & DELIVERY

Incoterms: Unless otherwise agreed in writing, all international shipments are made on Ex Works (EXW) or FOB (Free on Board) terms from Joint Carbide's designated facility in China. Risk of loss and title to goods pass to the Buyer at the point of delivery as defined by the agreed Incoterms.

Lead Times: Estimated lead times are provided at the time of quotation and are approximate. Standard carbide burr orders may ship within seven (7) to twenty-one (21) business days depending on order volume and product specifications. Custom orders may require additional lead time. Joint Carbide shall not be liable for delays caused by circumstances beyond its reasonable control.

Shipping Arrangements: Unless the Buyer provides specific freight forwarder instructions, Joint Carbide may arrange shipping on the Buyer's behalf at the Buyer's cost and risk. Joint Carbide does not assume liability for carrier delays, damage in transit, or customs clearance issues.

Inspection on Receipt: The Buyer is responsible for inspecting all goods upon receipt. Any claims for visible damage, shortage, or incorrect items must be submitted in writing within seven (7) calendar days of delivery. Failure to notify within this period shall constitute acceptance of the goods as delivered.

RETURNS & WARRANTY

Limited Product Warranty: Joint Carbide warrants that its products will conform to the agreed written specifications at the time of shipment. This warranty is limited to replacement of defective goods or issuance of a credit note, at Joint Carbide's sole discretion, and constitutes the Buyer's exclusive remedy.

Warranty Exclusions: The warranty does not cover defects or damage resulting from:

  • Improper use, storage, or handling by the Buyer;
  • Use of products outside recommended operating parameters (e.g., excessive rotational speed, improper clamping);
  • Normal wear and tear in industrial applications;
  • Modification or alteration of products by the Buyer or third parties;
  • Damage occurring during transit after risk has passed to the Buyer.

Returns Process: All returns require prior written authorization (RMA) from Joint Carbide. Unauthorized returns will not be accepted. Return shipping costs are the Buyer's responsibility unless the return is due to a confirmed manufacturing defect. Custom-made products are non-returnable.

Disclaimer: EXCEPT AS EXPRESSLY SET FORTH ABOVE, JOINT CARBIDE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

INTELLECTUAL PROPERTY

All content on the Site -- including but not limited to text, images, product photographs, technical data sheets, logos, trademarks, trade names, and design elements -- is the exclusive property of Joint Carbide or its licensors and is protected by applicable intellectual property laws.

No content from this Site may be reproduced, distributed, transmitted, displayed, published, or broadcast without the prior written permission of Joint Carbide. You may not use any Joint Carbide trademark, trade name, or logo without express written authorization.

Nothing in these Terms grants you any license or right to use Joint Carbide's intellectual property beyond the limited access rights described herein. Any unauthorized use may result in civil and criminal liability.

If you believe any content on the Site infringes your intellectual property rights, please contact us in writing with full details of the alleged infringement.

CONFIDENTIALITY

In the course of business dealings, each party may disclose to the other certain confidential information, including but not limited to pricing, technical specifications, manufacturing processes, customer data, and business strategies ("Confidential Information").

Each party agrees to: (a) hold all Confidential Information in strict confidence; (b) use Confidential Information solely for the purpose of fulfilling its obligations under these Terms; and (c) not disclose Confidential Information to any third party without the prior written consent of the disclosing party.

Confidentiality obligations do not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was already known to the receiving party prior to disclosure; (iii) is independently developed without use of Confidential Information; or (iv) is required to be disclosed by law or court order, provided the disclosing party is given prompt written notice.

These confidentiality obligations shall survive termination of any business relationship between the parties for a period of three (3) years.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JOINT CARBIDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE USE OF THE SITE, OR ANY PRODUCTS PURCHASED FROM JOINT CARBIDE.

In all cases, Joint Carbide's total cumulative liability arising out of or related to any order or transaction shall not exceed the total amount paid by the Buyer for the specific goods giving rise to the claim.

Joint Carbide shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, supply chain disruptions, pandemics, or failures of third-party carriers ("Force Majeure Events"). Joint Carbide shall provide prompt written notice of any Force Majeure Event and use commercially reasonable efforts to resume performance.

EXPORT COMPLIANCE

Joint Carbide's products, including tungsten carbide materials, may be subject to export control laws and regulations of the People's Republic of China and other applicable jurisdictions. The Buyer is solely responsible for ensuring that any purchase, import, use, or resale of Joint Carbide products complies with all applicable export control laws, trade sanctions, and import regulations in the Buyer's country and any country of end use.

The Buyer represents and warrants that it is not located in, or acting on behalf of any person or entity in, any country subject to applicable trade embargoes or sanctions, and that it is not listed on any government-restricted party list.

Joint Carbide reserves the right to refuse or cancel any order that it reasonably believes may violate applicable export control or sanctions regulations, without liability to the Buyer.

GOVERNING LAW & DISPUTE RESOLUTION

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

Negotiation: In the event of any dispute, the parties shall first attempt to resolve the matter through good-faith negotiations within thirty (30) days of written notice of the dispute.

Arbitration: If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its then-current arbitration rules. The arbitration shall be conducted in Chinese and/or English, and the arbitral award shall be final and binding on both parties.

Nothing in this clause shall prevent either party from seeking urgent injunctive or other equitable relief from a competent court to prevent irreparable harm.

CHANGES TO TERMS

Joint Carbide reserves the right to modify, update, or replace these Terms at any time at its sole discretion. Changes will be effective upon posting of the revised Terms on the Site, with the "Last Updated" date revised accordingly.

Your continued use of the Site or placement of orders after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.

For material changes that significantly affect your rights or obligations, Joint Carbide will make reasonable efforts to provide notice through the Site or by email where contact information has been provided.
